    Terms of Use

    Last updated: September 3, 2026

These Terms of Use (the “Terms”) govern your use of the websites, online platform, intake experience, account features and related administrative services made available by IvySource Inc. d/b/a Underly (“Underly,” “we,” “us” or “our”). By accessing or using the services, you agree to these Terms and our Privacy Policy.

    Important medical notice

Underly is not a medical practice and does not diagnose, treat or prescribe. Underly provides technology and administrative services that help connect eligible users with independent licensed healthcare providers and pharmacies.

Clinical services are provided by Arora Health & Aesthetics and its licensed clinicians, or by another licensed medical group identified to you before care is provided. The treating clinician is solely responsible for determining whether treatment is appropriate and what, if anything, to prescribe.

The services are not for emergencies. If you believe you are experiencing a medical or mental health emergency, call 911 or seek immediate in-person care.

    1. Eligibility and availability

You must be at least 18 years old, located in the United States and legally able to agree to these Terms. Clinical services and prescription products are available only where the applicable provider and pharmacy are authorized to operate. Treatment options may vary by state and individual eligibility.

Meeting these requirements does not guarantee that you will qualify for treatment or receive a prescription.

    2. The services

    Underly may provide:

Website content is for general informational purposes. It is not medical advice and should not replace advice from a qualified healthcare professional.

    3. Telehealth and clinical care

Telehealth may involve questionnaires, secure messages, photographs, medical records, laboratory information, audio or video communications and other electronic information. Before receiving clinical services, you may be asked to review and accept a separate Telehealth Consent and the treating medical group’s Notice of Privacy Practices.

You agree to provide complete and accurate information about your identity, location, health history, medications and symptoms. A clinician may require additional information, testing or an in-person examination, or may determine that telehealth is not appropriate for you.

No prescription, treatment or particular result is guaranteed.

    4. Pharmacy services

If treatment is prescribed, the prescription may be sent to The Pharmacy Hub or another licensed pharmacy partner identified in connection with your order. The dispensing pharmacy is responsible for preparing, labeling and dispensing medication in accordance with the prescription and applicable law.

Medication availability, formulation, price and fulfillment options may vary by state, clinical decision and pharmacy capacity. Please review all pharmacy labels and instructions and contact your clinician or dispensing pharmacy with medication-specific questions.

    5. Accounts and communications

You are responsible for safeguarding your login credentials and for activity under your account. Notify us promptly if you believe your account has been accessed without authorization.

You consent to receive service-related communications electronically, including account, clinical, order and shipping notices. Email and standard text messaging may not always be secure. Do not use ordinary email or text message for emergencies or highly sensitive information unless instructed to do so through an approved secure channel.

Marketing messages will be sent only as permitted by law and according to the choices presented to you. You may opt out of marketing communications without losing access to treatment-related communications.

    6. Prices, payment and recurring orders

Prices and the services or products included in a purchase will be shown before you authorize payment. Underly may use a third-party payment processor and generally does not receive or store complete payment-card information.

Payment information may be collected before clinical review. If a clinician does not prescribe treatment, you will not be charged for medication. Any separate fee that may apply regardless of the prescribing decision will be clearly disclosed before you authorize payment.

If you choose a recurring plan, its price, billing frequency, included services and cancellation terms will be displayed before purchase. By enrolling, you authorize the disclosed recurring charges until you cancel. Cancellation applies to future orders and does not reverse a prescription already dispensed or an order already processed, except where required by law or stated in our Refund and Cancellation Policy.

You are responsible for keeping billing and shipping information current. Taxes and shipping charges, if any, will be disclosed before purchase.

    7. Cancellations, refunds and shipping

Our Refund and Cancellation Policy and Shipping and Delivery Policy are incorporated into these Terms. Prescription medications generally cannot be returned once dispensed or shipped. Contact us immediately if you need to cancel an order or if a shipment is damaged, incorrect, missing or delayed.

    8. Compounded medications

Some treatment options may involve compounded medications when prescribed by a licensed clinician and dispensed by a licensed compounding pharmacy. Compounded drugs are not FDA-approved. The FDA does not review compounded drugs for safety, effectiveness or quality before they are marketed.

Compounded medications are prepared for an individual patient based on a clinician’s prescription. They are not generic versions of, or represented as equivalent to, any FDA-approved medication. All medications carry potential risks, side effects and contraindications. Use medication only as prescribed and discuss questions with your clinician.

    9. Privacy

Our Privacy Policy explains how Underly handles personal information. Medical information maintained by the treating medical group may also be governed by its Notice of Privacy Practices. Pharmacies and other independent healthcare organizations may have their own privacy notices.

    10. Acceptable use

    You may not:

We may suspend or terminate access when reasonably necessary to protect users, clinicians, pharmacies, Underly or the integrity of the services.

    11. Intellectual property

The services and their content, design, software, trademarks and other materials are owned by or licensed to Underly and are protected by law. Underly grants you a limited, personal, nonexclusive and nontransferable right to use the services for their intended purpose while you comply with these Terms.

    12. Third-party services

The services may link to or depend on third-party services, including healthcare providers, pharmacies, payment processors, identity-verification services and carriers. Those parties may have separate terms and privacy practices. Underly is not responsible for a third party’s services except to the extent required by law or expressly stated in an agreement with you.

    13. Disclaimers and limits

To the extent permitted by law, the non-clinical services are provided on an “as is” and “as available” basis. Underly does not guarantee uninterrupted access, treatment eligibility, medication availability, delivery dates or results.

To the fullest extent permitted by law, Underly will not be liable for indirect, incidental, special, consequential or punitive damages arising from the non-clinical services. Nothing in these Terms limits rights or liabilities that cannot legally be limited, and nothing in these Terms changes the professional duties of a treating clinician or dispensing pharmacy.

    14. Changes to the services or these Terms

We may update the services or these Terms from time to time. The “Last updated” date will show when these Terms were revised. If a change materially affects your rights, we will provide notice as required by law. Continued use after the effective date of revised Terms constitutes acceptance of those Terms.

    15. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, except where the law of your state requires otherwise. Any dispute-resolution provision presented separately and accepted by you will also apply.
